  1. Introduction

This Agreement ("Terms & Conditions'') outlines the legal terms and conditions governing your use of our Software. By accessing or using Leadmetrics, you ("Customer," "you," or "your '') acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree to these terms, please refrain from using our Software.

  2. Description of Services

    2.1. Purpose of Leadmetrics: Leadmetrics, Inc. offers a comprehensive Software-as-a-Service (SaaS) solution known as "Leadmetrics." Our Software is designed to empower businesses and digital marketing professionals to efficiently manage, analyze, and optimize their digital marketing activities across various digital media platforms. Leadmetrics provides a wide array of features and tools to help you streamline your digital marketing efforts and achieve your marketing objectives.

  3. Application Hosting Location

    The geographical location of the cloud facility serving your Leadmetrics account is determined by the mapping of your region or country to the available cloud facilities at the time of your registration. In the event of updates or changes to the mapping between regions or countries and cloud facilities, Leadmetrics reserves the right to migrate your account or request you to migrate your account to a different cloud facility.

    During the sign-up process, it is crucial not to conceal your internet protocol (IP) address, as your region or country is determined based on this information. If, at any point, we discover that your actual region or country differs from the region or country in our records, Leadmetrics may take appropriate actions. These actions may include migrating your account to the cloud facility corresponding to your correct region or country or, in extreme cases, closing your account and discontinuing the provision of our services to you.

    Additionally, if your Leadmetrics account is served from a cloud facility located outside your region or country, and a Leadmetrics entity maintains an office in your region or country, we may store a local copy of your data in compliance with relevant data storage and privacy regulations.

  4. Ownership of Data

    We highly value and respect your ownership rights over any content you create or store within our services. You maintain full ownership of all content created or stored by you. It's important to emphasize that, unless explicitly authorized by you, your utilization of our services does not grant Leadmetrics a license to use, reproduce, adapt, modify, publish, or distribute your created content or the data stored in your user account for any commercial, marketing, or similar purposes.

    However, it's important to clarify that you do grant Leadmetrics permission to access, copy, distribute, store, transmit, reformat, publicly display, and publicly perform the content within your user account. This permission is solely for the purpose of providing the services you've subscribed to and ensuring their functionality. We will always handle your data with the utmost care and in compliance with our privacy and data security measures.

  5. Payment Terms

    5.1. Subscription Fees: To access and use Leadmetrics, customers are required to pay monthly subscription fees. These fees are calculated on a recurring basis and must be paid in advance at the beginning of each billing cycle. The subscription fees are outlined on our pricing page.

Automatic Debit Authorization: By using Leadmetrics, you grant Leadmetrics, Inc. explicit permission to automatically debit the subscription fees from the payment method you provided during the registration process. It is your responsibility to ensure that the designated payment method has sufficient funds to cover these charges. Failure to make timely payments may result in the suspension or termination of your access to the Software.

  6. Subscription Cancellation

    6.1. Cancellation by Customer: We understand that circumstances can change. Therefore, customers have the flexibility to cancel their subscription to Leadmetrics at any time through the intuitive cancellation feature available within the Leadmetrics dashboard. Upon cancellation, your access to the Software and the ability to perform digital marketing activities using Leadmetrics will be immediately terminated.

  7. Refund Policy

    7.1. Refund Policy: It is important to note that Leadmetrics, Inc. does not offer refunds for any subscription fees paid, regardless of the timing or reason for subscription cancellation. Our commitment is to provide uninterrupted access to the Software throughout the paid subscription period.

  8. Lead Generation Disclaimer

    8.1. Software Functionality: Leadmetrics is a powerful digital marketing tool designed to assist customers in their lead generation efforts. It offers a range of features such as lead tracking, analytics, and campaign optimization to enhance your digital marketing strategy.

    8.2. No Guarantee of Leads: While Leadmetrics empowers customers with valuable insights and tools, Leadmetrics, Inc. does not provide a guarantee regarding the accuracy, quality, or quantity of leads generated through the Software. The success of lead generation efforts using Leadmetrics depends on several factors, including the customer's marketing strategy, targeting, and execution.

  9. Customer Responsibilities

    9.1. Accuracy of Information: Customers are responsible for ensuring the accuracy, completeness, and validity of the data and information provided within Leadmetrics. Additionally, customers are responsible for executing their digital marketing activities with diligence and compliance with applicable laws and regulations. Leadmetrics, Inc. shall not be held responsible for any inaccuracies, errors, or omissions in customer-provided data or the outcomes of digital marketing activities.

  10. Limitation of Liability

    10.1. Exclusion of Liability: Leadmetrics, Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use or inability to use the Software. This limitation of liability applies even if Leadmetrics, Inc. has been advised of the possibility of such damages.

  11. Suspension and Termination of Services

    We retain the right to suspend your user account or temporarily disable access to all or a portion of any Service under specific circumstances. These circumstances include but are not limited to suspected illegal activities, prolonged periods of inactivity, or lawful requests made by law enforcement or government agencies. If you wish to contest the suspension or disabling of your user account, please communicate your objections to us at support@leadmetrics.ai within a thirty-day period from the date of suspension notification. Should a user account remain suspended or disabled for a continuous thirty-day period, we reserve the right to terminate it. You also have the option to request the termination of your user account, which we will promptly facilitate.

    Furthermore, we maintain the prerogative to terminate your user account and discontinue the provision of Services if there is a reasonable belief that you have contravened the terms of this Agreement or if unexpected technical issues arise in relation to a Beta Service, leading to its discontinuation. In the event that Leadmetrics breaches its obligations under this Agreement, you possess the right to terminate your user account. Should this occur, you will be eligible for a prorated refund of any prepaid fees. The termination of a user account encompasses the denial of access to all Services, the deletion of information contained within your user account (including your email address and password), and the removal of all data stored within your user account.

  12. Changes to Terms & Conditions

    12.1. Modification of Terms: Leadmetrics, Inc. reserves the right to modify, amend, or update these Terms & Conditions at any time. Changes will be communicated to customers through the Leadmetrics website or via email. It is the responsibility of the customer to review these Terms & Conditions periodically. Continued use of the Software after such changes will constitute your acceptance of the revised Terms & Conditions.
